Foundation

The MountainView Kiwanis Foundation was incorporated in 1955 and is a 501(c)(3) corporation. 

The address for the Foundation shall be the same as the club:

The Amended and Restated Articles of the Mountain View Kiwanis Foundation state: 

“This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the California Nonprofit Public Benefit Corporation Law for charitable purposes.”

Purposes:

The purposes of the corporation shall be as follows:

1.  The corporation shall be a nonprofit corporation organized solely for general charitable and eleemosynary purposes under the Corporations Code of the State of California.

2.  To act as trustee under charitable and eleemosynary trusts for receiving, holding, administering and expending property and funds in accordance with the respective trusts under which the property and funds are acquired and held.

3.  To receive, hold, manage, administer and expend property and funds under general charitable and eleemosynary trusts, that the property and funds, either as to principle or income, or both, shall be applied, to the assistance and support of such charitable or eleemosynary institutions or objects, at such times and to such extent as the corporation may, in its judgment, deem most conducive to the public welfare. No bequest, devise, gift, or transfer of property or funds to this corporation for charitable or eleemosynary purposes shall be invalid because of indefiniteness or uncertainty as to the purposes or the beneficiaries thereof, but ti the extent to which such indefiniteness or uncertainty exists, it shall be resolved by the corporation in the manner which, in its judgment, is most consonant with the purpose of the donor and most conducive to the public welfare.

4.  Subject to the Probate Code, to take property and funds by Will, gift, or otherwise, and with or without specification of any charitable or eleemosynary purpose. If no charitable or eleemosynary purpose is specified, the property or funds so received, shall, nevertheless, be held upon the trust that they shall be used for charitable or eleemosynary purposes. The within corporation shall not have the power to take or hold property or funds for any other purpose than a charitable or eleemosynary one.

5  To hold in its own name and right, real and personal property of every nature and description without limitation as to extent, character or amount, and with all the powers of control, investment, management,change and disposal incident to the absolute ownership of property or funds by a private person, subject only to the terms of particular trusts and to the general trust that all its properties and funds shall be held for charitable and eleemosynary purposes.

6.  To expend corporate funds or assets held under other trusts or a specific trust for the care, treatment and rehabilitation of crippled or otherwise handicapped persons;  to furnish funds to hospitals, Boy or Girl Scout organizations, or to other institutions or to individuals, associations or groups for the care, treatment, education, development and support of any such persons, and for purpose of research into such care, treatment, development and education; and to furnish to crippled or otherwise handicapped persons such aids and appliances as may be necessary or advisable to assist them in carrying on their activities.

7.  To carry on programs of sports, hobbies, and other activities among children and young people for the purpose of furnishing wholesome recreation or other activities for such purposes.

8.  To raise funds for providing scholarships for needy or exceptional students and to make such scholarships available, either as gifts or as loans.

9.  To raise and collect funds necessary for the carrying out of any of the corporation’s purposes by any lawful means.

10.  To adopt Bylaws . . . (for) any and all details incident to its organization and the efficient conduct and management of its affairs.
